Forces Group Master Terms and Conditions –
Non-Government Organisations

1. Parties

These Terms and Conditions apply to all goods and services provided by Saltwater Country Services Pty Ltd trading as Forces Group Australia (ABN: 61 659 725 201), herein referred to as 'Forces Group', to the Client as identified in the corresponding invoice or contract agreement.

2. Jurisdiction

This Agreement is governed by the laws of Queensland, Australia. Any disputes arising under this Agreement shall be resolved within that jurisdiction.

3. Warranty

Forces Group warrants its products for a period of twenty-four (24) months from the date of delivery or installation (whichever is later) against defects in materials and workmanship under normal use.

4. Scope of Supply

Forces Group will supply, deliver, and if requested and agreed upon, install the products outlined in the invoice or purchase agreement. Project management and site preparation services may be offered as an additional service, subject to a separate written agreement or scope of works.

5. Payment Terms

The Client shall pay 50% of the total contract value as a deposit prior to commencement of manufacturing. The remaining 50% shall be paid upon delivery and Client acceptance of the goods. Ownership and title to the goods remain with Forces Group until payment is made in full.

6. Delivery and Site Conditions

Delivery shall be made to the location specified by the Client. The Client is responsible for ensuring:

- Clear site access for a flatbed truck and crane or forklift if necessary. - A flat, stable surface is prepared prior to delivery.

- Safe working conditions for Forces Group staff or subcontractors during installation, if applicable.

Risk in the goods passes to the Client upon delivery.

7. Limitation of Liability

To the fullest extent permitted by law, Forces Group' liability for any claim relating to this Agreement is limited to the total value of the contract. Forces Group shall not be liable for any indirect, special or consequential loss.

8. Insurance

Forces Group holds Public and Products Liability Insurance up to AUD $20,000,000 through BizCover.

9. Force Majeure

Forces Group shall not be liable for any delay or failure to perform its obligations under this Agreement if such delay is due to an event beyond its reasonable control, including but not limited to acts of God, war, pandemic, labour strikes, or extreme weather.

10. Confidentiality

Both parties agree to maintain confidentiality regarding any proprietary or sensitive information exchanged in relation to this Agreement.

11. Termination

Either party may terminate this Agreement by providing 14 days’ written notice if the other party commits a material breach of the Agreement and fails to remedy that breach within the notice period.

 

Termination shall not affect any rights, obligations, or liabilities accrued up to the date of termination, including payment for any goods or services already provided.

12. Entire Agreement

This document represents the entire agreement between the parties and supersedes any prior discussions, agreements, or understandings. Amendments must be in writing and signed by both parties.

Quote Acceptance Notice

*Important Notice: By accepting a Forces Group quote, the Client agrees to be bound by the terms outlined in this Master Terms and Conditions document. These Terms and Conditions are considered accepted upon written approval or payment of the quoted invoice. A copy of these Terms is provided with each quote and may also be requested at any time.
